Non-Distribution and Non-Resale Agreement

This Non-Distribution and Non-Resale Agreement ("Agreement") is entered into as of the date of purchase by and between Sleepwell AU/NZ Pty Ltd ("Owner") and the purchaser ("Recipient").

WHEREAS, Owner has developed and owns the Online Training Program ("Product"), which is subject to copyright protection;

WHEREAS, Recipient desires to access the Product solely for personal or internal business use, and not for distribution, resale, or reproduction as their own work;

NOW, THEREFORE, in consideration of mutual promises and covenants contained herein, the parties agree as follows:

1. Grant of Licence Owner grants Recipient a non-exclusive, non-transferable licence to use the Product solely for Recipient's personal or internal business use, including the use of resources and materials provided within the Product for standard business activities.

2. Restrictions on Distribution and Resale Recipient agrees not to distribute, sell, sublicense, or otherwise make available the Product or any portion thereof to third parties. Recipient further agrees not to reproduce the Product, in whole or part, or create derivative works based upon it.

3. Intellectual Property Rights Recipient acknowledges that Owner retains all rights, titles, and interests in the Product, including all copyrights and intellectual property rights. This Agreement does not transfer ownership rights or intellectual property rights to Recipient.

4. Confidentiality Recipient agrees to maintain the confidentiality of the Product and shall not disclose or share the Product with third parties without prior written consent from the Owner.

5. Breach and Remedies In the event of a breach of this Agreement by Recipient, Owner shall be entitled to seek injunctive relief, specific performance, or other equitable remedies in addition to remedies available at law.

6. Governing Law This Agreement shall be governed by and construed according to the laws of the Commonwealth of Australia, excluding its conflict of laws principles.

7. Entire Agreement This Agreement constitutes the entire understanding between the parties concerning the subject matter hereof and supersedes all prior agreements, written or oral.

By downloading, purchasing, or otherwise accessing the Product, Recipient acknowledges agreement with these terms.

Disclaimer

The Online Training Program ("Product") provided by Sleepwell AU/NZ Pty Ltd ("Owner") is intended solely for educational and informational purposes. Owner does not guarantee the effectiveness, accuracy, or suitability of the Product for specific outcomes.

Recipient acknowledges and agrees that:

• Owner makes no warranties regarding outcomes or results achieved by using the Product.

• Owner shall not be liable for direct, indirect, incidental, consequential, special, or punitive damages arising from the use of the Product.

• Recipient assumes full responsibility for applying the strategies and techniques presented in the Product. Owner shall not be responsible for negative business outcomes, legal issues, or reputational damage.

• The Product is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

• Recipient acknowledges the content provided may require further editing to ensure compliance with applicable laws and industry standards, and should consult appropriate legal or professional advisors.

Recipient agrees to indemnify and hold Owner harmless from any claims, damages, losses, liabilities, costs, and expenses (including attorney fees) arising from the use of the Product.

Lifetime Access

"Lifetime Access" refers to the lifetime of the Product, not the lifetime of the purchaser or Sleepwell AU/NZ Pty Ltd ("Company"). Should the Company discontinue the Product, six months' notice will be provided via the email used at purchase. Recipients may download available materials during this notice period.

Pricing Errors

The Company reserves the right to correct pricing errors even if payment has been processed. Recipients will be notified via email regarding any corrections, and appropriate action will be communicated.

No Refunds Policy

All sales are final. Due to the digital nature of the Product, refunds are not available once the purchase is complete. Recipients should carefully review all details before finalising their purchase.
